1. Acceptance of Terms

By accessing or using the SHARK DealRoom Live website at sharkdealroomlive.com or participating in any SHARK DealRoom Live event, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use our website or services.

2. Invitation-Only Participation

Participation in SHARK DealRoom Live events is by invitation or qualified application only. Gerard Perillo personally reviews and approves all pilot event invitations. We reserve the right to accept or decline any application at our sole discretion without obligation to provide a reason.

Submitting an inquiry, scheduling a call, or completing a pre-screening form does not guarantee participation. Invitations may be revoked at any time prior to the event if a participant is found to have misrepresented their qualifications or violated any term of these conditions.

By applying or participating, you represent that:

• You are at least 18 years of age
• You have the legal authority to enter into binding agreements on behalf of yourself or your business
• All information you provide is accurate, complete, and not misleading
• You are not prohibited by law from participating in business transactions

3. No Guarantee of Transaction Completion

SHARK DealRoom Live facilitates structured introductions and confidential conversations between qualified parties. We do not guarantee that any transaction will be completed, that any offer will be made or accepted, or that any particular outcome will result from participation.

All transactions are negotiated directly between the parties involved and are subject to independent due diligence, legal review, financing approval, and mutual agreement. SHARK DealRoom Live is not a party to any transaction and assumes no responsibility for the outcome of any deal introduced through our platform.

Past transaction volume and success rates referenced on our website reflect historical results and are not a guarantee of future performance.

4. Confidentiality Expectations

All participants are required to execute a Non-Disclosure Agreement (NDA) prior to accessing confidential business information at any SHARK DealRoom Live event. By participating, you agree to:

• Maintain strict confidentiality of all business information, financial data, and personal details disclosed during the event or qualification process
• Use confidential information solely for the purpose of evaluating a potential transaction
• Not disclose confidential information to any third party without prior written consent from SHARK DealRoom Live and the disclosing party
• Not use confidential information to compete with, solicit, or otherwise harm any party whose information was disclosed
• Return or destroy confidential materials upon request or upon conclusion of the event

Breach of confidentiality obligations may result in immediate removal from the event, permanent disqualification from future participation, and legal action to recover damages.

5. No Investment Advice

SHARK DealRoom Live is not a registered investment advisor, broker-dealer, or securities dealer. Gerard Perillo and affiliated entities do not provide investment advice in connection with this platform. All participants are solely responsible for their own investment decisions and are encouraged to consult qualified independent financial advisors before making any financial commitments.

6. No Legal or Tax Advice

While SHARK DealRoom Live works with legal and financial professionals as sponsors and advisors, their participation does not create an attorney-client, accountant-client, or advisor-client relationship with event participants. All participants are strongly encouraged to retain independent legal counsel and tax advisors before entering into any transaction or agreement.

7. Event Participation Subject to Approval

Participation in each SHARK DealRoom Live event is subject to the following conditions:

• Completion of the qualification and pre-screening process to Gerard Perillo's satisfaction
• Execution of a Non-Disclosure Agreement prior to the event
• Payment of any applicable participation fees in full prior to the event date
• Compliance with all event rules, protocols, and confidentiality requirements
• Ongoing eligibility — we reserve the right to remove any participant whose conduct is disruptive, dishonest, or in violation of these terms

Event dates, locations, formats, and participant counts are subject to change at our discretion. In the event of a cancellation by SHARK DealRoom Live, participants will be offered a credit toward a future event or a refund of participation fees paid.

8. Limitation of Liability

To the fullest extent permitted by applicable law, SHARK DealRoom Live, Gerard Perillo, and all affiliated entities, officers, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Lost profits, lost business opportunities, or failed transactions
• Damages arising from reliance on information presented at our events or on our website
• Actions or omissions of third-party sponsors, advisors, buyers, or sellers introduced through our platform

Our total liability to you for any claim arising from these terms or your participation shall not exceed the fees paid by you to SHARK DealRoom Live in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Intellectual Property & Proprietary Rights

All content on this website and associated with SHARK DealRoom Live — including but not limited to the SHARK DealRoom Live™ name, SHARK DealRoom™, I AM SHARK™, MAKO Score™, Clipboard Moment™, Main Street Legacy Tour™, and all related names, logos, brand identity, event formats, methodologies, processes, scoring frameworks, matching systems, written content, presentation decks, videos, images, and materials — is the exclusive intellectual property of SHARK DealRoom Live LLC, Gerard Perillo, and/or affiliated entities or licensors.

You may not reproduce, distribute, modify, publicly display, create derivative works from, or otherwise use any of our intellectual property without our express prior written permission. Unauthorized use may result in legal action. Nothing in these Terms grants you any license or right to use our trademarks, trade names, or brand elements.

10. Event Format Protection

The SHARK DealRoom Live™ event format — including the participant experience, deal room structure, evaluation process, buyer-seller matching methodology, MAKO Score™ framework, Clipboard Moment™ format, and all related proprietary materials — constitutes protected intellectual property and trade secrets of SHARK DealRoom Live LLC.

Without prior written permission from SHARK DealRoom Live LLC, no person or entity may:

• Copy, replicate, or substantially imitate the SHARK DealRoom Live™ event format or participant experience
• Use knowledge gained through participation to design, operate, or promote a competing event or platform
• Reverse engineer any scoring framework, matching system, or evaluation methodology used in connection with SHARK DealRoom Live™ events
• Incorporate proprietary event materials, processes, or formats into any other commercial offering
• License, sublicense, or transfer access to proprietary event materials to any third party

Violation of this section constitutes misappropriation of trade secrets and may subject the violating party to injunctive relief and damages under applicable federal and Florida state law.

11. No Recording or Rebroadcast

By attending or participating in any SHARK DealRoom Live™ event, you agree that:

• You will not record, photograph, livestream, or capture any portion of the event by any means — including audio, video, screen capture, or written transcription — without express prior written consent from SHARK DealRoom Live LLC
• You will not rebroadcast, republish, distribute, or share any event content, participant statements, or proprietary materials through any channel, including social media, podcasts, newsletters, or press
• Any recordings authorized by SHARK DealRoom Live LLC remain the exclusive property of SHARK DealRoom Live LLC and may not be used for any commercial purpose without a separate written license agreement
• Unauthorized recording or distribution may result in immediate removal from the event, permanent disqualification from future participation, and legal action

12. No Scraping or Automated Data Extraction

Unauthorized automated access to this website is expressly prohibited. You may not use any robot, spider, crawler, scraper, script, browser extension, offline reader, or other automated means to access, index, scrape, or extract data from this website or any SHARK DealRoom Live™ platform for any purpose.

Prohibited activities include but are not limited to:

• Scraping or harvesting contact information, business data, or any other content from this website
• Using automated tools to monitor, index, or archive website content
• Bypassing any technical measures designed to limit or control access to website content
• Accessing the website through any means other than a standard web browser or authorized API

Violations of this section may constitute unauthorized access under the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and applicable Florida statutes, and may subject the violating party to civil and criminal liability.

13. Prohibition on AI Training Use

All website content, event materials, proprietary methodologies, participant data, and any other information associated with SHARK DealRoom Live™ are expressly excluded from use in connection with:

• Training, fine-tuning, or evaluating any large language model (LLM), generative AI system, or machine learning model
• Building datasets, corpora, or training sets for any AI application
• Automated summarization, classification, or extraction for AI-assisted research or competitive intelligence
• Any AI-powered product or service that incorporates or is informed by SHARK DealRoom Live™ content or methodologies

This prohibition applies regardless of whether the use is commercial or non-commercial, and regardless of whether the content is accessed directly from this website or through a third-party aggregator or index.

14. No Commercial Reuse of Website Content

All content on this website — including text, graphics, logos, images, video, event descriptions, methodology descriptions, and all other materials — is provided solely for informational purposes in connection with SHARK DealRoom Live™ and may not be used for any commercial purpose without prior written authorization.

Prohibited commercial uses include but are not limited to:

• Republishing or redistributing website content in any medium for commercial gain
• Incorporating website content into paid products, services, courses, or publications
• Using website content in advertising, marketing, or promotional materials for any third party

15. Indemnification

You agree to indemnify and hold harmless SHARK DealRoom Live LLC, Gerard Perillo, and affiliated entities from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misrepresentation of any information, your breach of any confidentiality obligation, your unauthorized recording or distribution of event content, your unauthorized use of proprietary materials, or your conduct at any event.

16. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

17. Modifications

We reserve the right to modify these Terms & Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or participation in our events after any changes constitutes your acceptance of the revised terms.
